1. Agreement to Terms
These Terms & Conditions ("Terms") govern your access to and use of the websites, mobile application, and services (collectively, the "Services") provided by the Clarity app and Centered Health for Women ("Centered," "Clarity," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Not for Medical Emergencies
The Services are not for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not rely on the Services for urgent or emergency care.
3. Nature of Our Services
Centered provides membership-based concierge primary care for women, supported by the Clarity platform. The Services include care coordination, personalized health scores, risk monitoring, AI-assisted clinical summaries, evidence-grounded care plans, and integration of your clinical, wearable, lab, and patient-reported data.
Educational, not a replacement for professional judgment: Content and tools provided outside of a direct clinical relationship (including website content and general educational materials) are for informational purposes only and are not medical advice. A physician-patient relationship is established only through enrollment and clinical engagement with our licensed providers.
AI-assisted care: Clarity uses artificial intelligence to help organize information and generate recommendations. All AI-generated clinical outputs are advisory only and are reviewed by a licensed provider before informing your care. AI does not replace the professional judgment of your care team.
4. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. Clinical services are available only where our providers are licensed. By using the Services, you represent that you meet these requirements.
5. Membership and Fees
- Pricing is based on your selected tier and payment cadence which is outlined in your membership agreement and membership packet provided at enrollment
- Fees are billed monthly/annually and are non-refundable.
- Membership fees are not insurance and are not a substitute for health insurance. We do not guarantee reimbursement by any insurer.
- We may change fees with prior notice as described in your membership agreement.
6. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at hello@centeredhealthforwomen.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
7. Connected Devices and Data
With your authorization, the Services integrate data from wearables and health devices (e.g., Apple Health, Apple Watch, Fitbit, Garmin, Oura) and monitoring devices. You are responsible for the accuracy of data you provide and for maintaining your third-party device accounts. We are not responsible for the availability or accuracy of third-party device data.
8. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms
- Misrepresent your identity or health information
- Attempt to access accounts, systems, or data without authorization
- Interfere with, disrupt, or reverse engineer the Services
- Upload malicious code or content that infringes the rights of others
9. Intellectual Property
The Services, including all content, software, and the Clarity platform, are owned by Clarity or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for your personal, non-commercial use.
10. Third-Party Services
The Services may link to or integrate third-party products and services. We are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms.
11. Disclaimers
Except as expressly stated, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure.
12. Limitation of Liability
To the fullest extent permitted by law, Clarity and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising out of or relating to your use of the Services. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability arising from professional clinical care.
13. Indemnification
You agree to indemnify and hold harmless Clarity and its affiliates from claims, damages, and expenses arising out of your misuse of the Services or violation of these Terms.
14. Termination
You may cancel your membership as described in your membership agreement. We may suspend or terminate your access at any time for violation of these Terms or as required by law. Certain provisions survive termination, including intellectual property, disclaimers, limitation of liability, and dispute resolution.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Informal Resolution: Before filing a claim against Clarity Health Clarity app, or its affiliated medical providers, you agree to try to resolve the dispute informally by contacting our support team at help@clarityforwomen.com or at (415) 881-3403. We will attempt to resolve the dispute in good faith. If a dispute is not resolved within thirty (30) days of submission, you or Clarity Health, LLC may bring a formal proceeding as outlined below. and venue
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to your use of the Clarity Health’s Clarity App services, software, or these Terms, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by individual, binding arbitration in Santa Clara, California before a single neutral arbitrator. The arbitration shall be administered by AAA pursuant to its Comprehensive Arbitration Rules and Procedures.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted here with a revised "Last Updated" date. Your continued use of the Services after changes take effect constitutes acceptance.
